TERMS & CONDITIONS

Part Distribution LLC, doing business as Novanty (“Novanty,” “we,” “our,” or “us”), provides this website (the “Site”) and related services subject to the following Terms and Conditions (“Terms”). By accessing or using this Site or communicating with Novanty, you agree to be bound by these Terms.


1. Nature of Services

Novanty provides supply chain finance facilitation services designed to help suppliers offer extended payment terms to qualified U.S.-based buyers.

Novanty may:

  • facilitate payments between buyers and suppliers

  • structure pre-negotiated trade credit arrangements

  • pay suppliers on behalf of buyers

  • assume certain payment risks under separate agreements

Novanty acts as an independent service provider and is not the buyer, importer, distributor, or end customer unless expressly agreed in writing.


2. No Guarantee of Orders or Buyer Performance

Novanty does not guarantee:

  • that suppliers will receive orders

  • that buyers will place orders

  • transaction volume or frequency

  • buyer performance or payment (except as expressly agreed in separate written agreements)

All sales agreements are entered into directly between suppliers and buyers.


3. Payment Facilitation and Assignment

In certain transactions:

  • suppliers may receive payment from Novanty instead of directly from the buyer

  • payment obligations may be assigned to Novanty or its partners

  • Novanty may deduct service fees before remitting payment

All such arrangements are governed by separate written agreements. Nothing in these Terms modifies or replaces those agreements.


4. Cross-Border Transactions

This Site is intended for suppliers engaging with U.S.-based buyers.

You acknowledge that:

  • transactions may involve cross-border trade

  • communications and data may be transmitted internationally

  • payments may originate from U.S.-based entities


5. Eligibility and Permitted Use

This Site is intended for business use only.

You agree to:

  • provide accurate and complete business information

  • use the Site only for lawful commercial purposes

  • not misuse, disrupt, or attempt to gain unauthorized access to the Site


6. Independent Relationship

Novanty acts solely as an independent service provider.

Nothing in these Terms creates any:

  • partnership

  • joint venture

  • agency relationship

between Novanty and any supplier, buyer, or third party.


7. Third-Party Relationships

Novanty may introduce or connect suppliers with buyers and other service providers.

Novanty:

  • does not control third parties

  • is not responsible for their actions, products, or services

  • is not a party to underlying sales contracts unless expressly stated

All transactions between suppliers and buyers are independent agreements.


8. Intellectual Property

All content on this Site, including text, graphics, logos, and trademarks, is the property of Novanty or its licensors.

You may not copy, reproduce, distribute, or create derivative works without prior written permission.


9. Disclaimer of Warranties

All services and content are provided “as is” and “as available.”

Novanty disclaims all warranties, including but not limited to:

  • merchantability

  • fitness for a particular purpose

  • non-infringement


10. Limitation of Liability

To the fullest extent permitted by law, Novanty shall not be liable for any:

  • indirect

  • incidental

  • consequential

  • punitive damages

arising out of or related to:

  • use of the Site

  • inability to use the Site

  • transactions with buyers or third parties

In all cases, Novanty’s total liability shall not exceed the greater of:

  • $100, or

  • the total fees paid to Novanty in the preceding 12 months


11. Indemnification

You agree to indemnify, defend, and hold harmless Novanty and its affiliates from any claims, damages, or expenses arising from:

  • your use of the Site

  • your products or services

  • your transactions with buyers

  • your violation of these Terms


12. Compliance with Laws

You agree to comply with all applicable laws and regulations, including:

  • export and trade laws

  • anti-corruption laws

  • customs and import/export regulations


13. Termination of Access

Novanty may suspend or terminate access to the Site or services at any time, without notice, for any reason, including:

  • violation of these Terms

  • suspected fraud

  • misuse of services


14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Dakota County, Minnesota, USA.

In the event of any inconsistency or dispute regarding interpretation, the English version of these Terms shall control.


15. Application of Terms

These Terms apply to all interactions with Novanty, whether conducted through the Site, email, or other communication methods.
